The Core Values of Designed Life Studio represent the foundation on which we perform work, conduct ourselves, and to which we expect our clientele to adhere. The values are expressed below as things we believe:

Business Coaching Agreement

This Coaching Participation Agreement (“Agreement”) governs the terms and conditions for participation by the Client identified below (“Client”) in individual coaching (“Coach”) created by Brittany Hogan of designedlifestudio.com. 

 

Background

Designed Life Studio (“Company”) is in the business of providing individual and group coaching to career driven women. By agreeing to these legally binding terms, you certify that you have read and reviewed this Agreement. 

 

The Coaching 

The One-on-One coaching is a business strategy and personal consulting program designed to assist participants in achieving their career, business and/or personal goals. The coaching is a consecutive thirty-day commitment and will run from the day payment is received by Designedlifestudio.com. Participants must arrive on time to their session with Brittany Hogan. Client must cancel or reschedule sessions with Brittany Hogan forty-eight hours in advance to avoid any late fees.     

 

The private coaching is for thirty (30) consecutive days and includes one private forty-five-minute coaching call with Brittany Hogan. Additionally, the private coaching includes Signal access Monday-Friday during normal business hours of 9 A.M. to 7 P.M. Responses on Signal will be given within twenty-four hours. 

 

As long as there is availability in the program, Client will have the option to extend coaching on a month-to-month basis following the thirty day period. Permitting this month-to-month extension is up to the complete discretion of the Coach.

 

Coaching Fee 

The fee of the program is $450. Client must return a signed copy of this Agreement and make an initial payment of $450.00 to the Company. A failure to return a signed copy of this Agreement and pay the initial payment will result in Client forfeiting admission to the coaching. 

 

Client authorizes Company to automatically charge the credit card on file for all coaching fee balances owed. Client agrees to keep credit card information current with the Company. If any payment is insufficient or declined for any reason, Company may remove Client from coaching and hold no liability in that regard. If the full payment is not received by the due date, a $55.00 late fee may be assessed.  

 

Participation requires a full financial commitment. The method of payment must be a major credit card with secure checking or savings accounts from reputable financial institution as a secondary form of payment. Secondary form of payment will be used upon default or missed payment from primary method of payment. 

 

Client is responsible for any expenses incurred while participating in coaching. This may include equipment and software needed for Coaching and any related travel costs. 

 

Client agrees that the Company may cease operation and all coaching at any time and at our sole discretion. As such, coaching will only remain active so long as the program exists. You agree that you will not have access to the materials provided through the coaching indefinitely. 

 

Cancellations 

Requests for cancellations and/or refunds received by the Company will not be honored and any outstanding balance owed must be paid in full. Changes or substitutions cannot be made to the Client. 

 

Participant’s Conduct 

Client agrees to a dignified and professional manner of conduct. Client shall not engage in any activity that is detrimental to the health, safety, and welfare of the Coaching participation. Coaching, including any usernames or passwords, may only be used by Client as permitted herein and may not be sold or distributed without the express written consent of the Company.  

 

Client understands that his/her enrollment in the Coaching is for a period of thirty (30) consecutive days. Client will not have access to the coach or materials after the thirty day period unless those materials are made public or additional arrangements are made between the Client and Coach for access privileges.  

 

Age restriction

You must be at least 18 (eighteen) years of age before participation in this program. You warrant that you are at least 18 years of age and you may legally adhere to this Agreement. You must not submit any information about any other person who is either under the age of 18 or if they are aged 18 or above, where you have not received their prior written consent to submit information about them to us. Designed Life Studio assumes no responsibility for liabilities related to age misrepresentation.

 

Intellectual property

You agree that all materials, products, and services provided on this website are the property of the Company, its affiliates, directors, officers, employees, agents, suppliers, or licensors including all copyrights, trade secrets, trademarks, patents, and other intellectual property. You also agree that you will not reproduce or redistribute the Company’s intellectual property in any way, including electronic, digital, or new trademark registrations.

 

You grant the Company a royalty-free and non-exclusive license to display, use, copy, transmit, and broadcast the content you upload and publish. For issues regarding intellectual property claims, you should contact the company to come to an agreement.

 

Limitation on liability 

The Company is not liable for any damages that may occur from misusing coaching services. You agree that any representations made about the success of current or prior Company members is not a guarantee of your individual success in the program. The Company does not guarantee or promise that the Client will achieve any specific results from participating in the Coaching Program. 

 

The Company is not liable for outcomes in your personal and professional life because of participation in coaching services. If Client gets reprimanded or terminated from client’s full-time job, Brittany Hogan is not held responsible.

 

The Company reserves the right to edit, modify, and change this Agreement any time. We shall let our users know of these changes through electronic mail. This Agreement is an understanding between Company and the Client, and this supersedes and replaces all prior agreements. 

 

Termination 

Either party may terminate this Agreement by written notice to the other party. Client agrees and understands that a termination of this Agreement does not remove or negate its obligation to pay Company for the full costs of this Program. 

 

Applicable law

By consenting to Coaching services, you agree that the laws of the United States, without regard to principles of conflict laws, will govern these terms and conditions, or any dispute of any sort that might come between the Company and you, or its business partners and associates.  

 

Disputes

Any dispute related in any way to your Coaching services be arbitrated by the state of Maryland and you consent to exclusive jurisdiction and venue of such courts.

 

Indemnification

You agree to indemnify Company and its affiliates and hold Company harmless against legal claims and demands that may arise from your use or misuse of our services. We reserve the right to select our own legal counsel. 

 

Force Majeure

Company shall have no liability to the Client under this Agreement if it is prevented from, or delayed in, performing its obligations under this Agreement or from carrying on its business by acts, events, omissions or accidents beyond its reasonable control, including (without limitation) strikes, failure of a utility service or transport network, act of God, war, riot, civil commotion, malicious damage, disease or quarantine restrictions compliance with any law or governmental order, rule, regulation or direction, accident, fire, flood, storm or default of suppliers of subcontractors. The Company’s obligation to perform its obligations shall be suspended during the period required to remove such force majeure event. Company shall notify the Client as soon as reasonably possible of the force majeure event and propose a suitable alternative accommodation, if any.   

 

Notices 

All notices, requests, demands and other communications required or permitted to be made will be in writing and will be deemed duly given if delivered via email, hand-delivered against a signed receipt therefore, sent by certified mail, return receipt requested, first class postage prepaid, or sent by nationally recognized overnight delivery service, in each case addressed to the party entitled to receive the same at the address appearing in this Agreement. Either party may alter the address to which communications are to be sent by giving notice to the other party. 

Severability 

If any term, provision, covenant, or condition of the Agreement is held by an arbitrator or court of competent jurisdiction to be invalid, void, or unenforceable, the rest of the Agreement shall remain in full force and effect and shall in no way be affected, impaired, or invalidated. 

 

Prior Agreements Superseded 

This Agreement is the sole and only agreement by and between the Parties. It supersedes any prior understandings or written or oral agreements between the Parties concerning the subject matter discussed herein. 

 

I hereby certify and acknowledge that I have had the opportunity to read this Agreement. I have voluntarily entered into this Agreement fully aware of its terms and conditions.
